Trust, SPV and SEBI registration
Both structures are built around a trust. We advise on and form each element:
The trust: settled by the sponsor and registered under the Indian Registration Act, 1908.
The trustee: a SEBI-registered debenture trustee, independent of the sponsor and manager.
The manager (REIT) or investment manager (InvIT): which must meet net worth, experience and fit-and-proper criteria.
Special purpose vehicles (SPVs): the companies that hold the assets, including transfer of assets and shareholders’ arrangements.
Sponsors and sponsor group: who must meet eligibility conditions and a minimum holding with a lock-in.
With the structure ready, we prepare and file the application for REIT registration with SEBI or InvIT registration, respond to SEBI’s queries, and take the trust to its registration certificate.

How long does it take to set up Registration and public offer?
The timeline depends on the product, how ready your documents and information are, and the regulator’s review. We give a realistic estimate in the proposal and update it as the work progresses.
Do you guarantee regulatory approval?
No adviser can. Approval rests with the regulator. What we do is prepare your structure, documents and filings to the standard the process demands and manage the process closely.
Can we engage you for only one stage of the work?
Both are possible. Most clients engage us across structuring, documentation, regulatory execution and launch readiness, but you can engage us for a specific stage.
Do you support us after launch?
Yes. Our Launch Readiness workstream and post-incorporation support help you onboard investors and meet your ongoing obligations.
